受美以、伊朗地緣軍事沖突升級(jí)影響,霍爾木茲海峽航道陷入封鎖,波斯灣內(nèi)原計(jì)劃掛靠目的港已不具備安全到達(dá)、靠泊、貨物卸載條件,大量過(guò)境及抵港船舶被迫于海灣外圍區(qū)域選擇替代安全港口完成卸貨作業(yè)。
船舶臨時(shí)改港操作,將直接涉及提單修訂、履約保函出具、租約違約界定、P&I保障等關(guān)鍵法律與商業(yè)風(fēng)險(xiǎn)。建議船東審慎規(guī)范全流程操作,強(qiáng)化風(fēng)險(xiǎn)前置審核,有效防范合約索賠、P&I脫保等重大損失。

結(jié)合當(dāng)前實(shí)操場(chǎng)景,本次戰(zhàn)事背景下的船舶改港主要分為兩類情形,具體要點(diǎn)及風(fēng)險(xiǎn)提示如下:
一、船東主動(dòng)申請(qǐng)變更卸貨港
該類改港行為,多為船東依據(jù)租約 CONWARTIME、VOYWAR 標(biāo)準(zhǔn)戰(zhàn)爭(zhēng)風(fēng)險(xiǎn)條款合法行使履約抗辯權(quán):
1.CONWARTIME 條款約定依據(jù)條款 (h) 款,船東有權(quán)拒絕駛?cè)腼L(fēng)險(xiǎn)裝貨港或卸貨港,并需第一時(shí)間書(shū)面通知租家;如需變更港口卸貨,應(yīng)先行告知租家并要求其指定安全替代港。若租家收到通知后 48 小時(shí)內(nèi)未完成指定,船東可自主選定安全港口卸貨,改港產(chǎn)生的全部費(fèi)用、風(fēng)險(xiǎn)及開(kāi)支,均由租家承擔(dān)。
“(h) If in accordance with their rights under the foregoing provisions of this Clause, the Owners shall refuse to proceed to the loading or discharging ports, or any one or more of them, they shall immediately inform the Charterers. No cargo shall be discharged at any alternative port without first giving the Charterers notice of the Owners’ intention to do so and requesting them to nominate a safe port for such discharge. Failing such nomination by the Charterers within 48 hours of the receipt of such notice and request, the Owners may discharge the cargo at any safe port of their own choice. All costs, risk and expenses for the alternative discharge shall be for the Charterers’ account...”
2. VOYWAR 條款約定依據(jù)條款 (c) 款,經(jīng)合理判定港口存在戰(zhàn)爭(zhēng)風(fēng)險(xiǎn)時(shí),船東可書(shū)面要求租家指定貨物安全卸港;租家逾期 48 小時(shí)未反饋指定方案,船東可自行選擇任意安全港口(含裝貨港)完成卸貨,視為完整履行運(yùn)輸合約義務(wù)。
“...If it should so appear, the Owners may by notice request the Charterers to nominate a safe port for the discharge of the cargo or any part thereof, and if within 48 hours of the receipt of such notice, the Charterers shall not have nominated such a port, the Owners may discharge the cargo at any safe port of their choice (including the port of loading) in complete fulfilment of the Contract of Carriage...”
核心風(fēng)控注意事項(xiàng)
風(fēng)險(xiǎn)判定需留存有效佐證船長(zhǎng)基于戰(zhàn)爭(zhēng)風(fēng)險(xiǎn)作出的拒港、改港判斷,必須具備真實(shí)、客觀、可溯源的事實(shí)依據(jù),不可主觀推定。需同步留存官方權(quán)威通報(bào)、航運(yùn)保險(xiǎn)市場(chǎng)預(yù)警、當(dāng)?shù)馗劭诖韺?shí)況反饋等書(shū)面材料,規(guī)避因依據(jù)不足被認(rèn)定為違約。
優(yōu)先推進(jìn)各方協(xié)商共識(shí)條件允許前提下,船東應(yīng)主動(dòng)與租家、收貨人溝通協(xié)商,就改港卸貨、貨物倉(cāng)儲(chǔ)、二次轉(zhuǎn)運(yùn)等后續(xù)費(fèi)用劃分達(dá)成書(shū)面約定,杜絕后續(xù)費(fèi)用追償、商事仲裁等法律糾紛。
非提單列明目的港卸貨屬于非常規(guī)操作,必須提前向船東P&I報(bào)備并取得許可,嚴(yán)格遵照協(xié)會(huì)風(fēng)控指引執(zhí)行;在復(fù)雜爭(zhēng)議場(chǎng)景下,可委托海事專業(yè)律師介入研判,規(guī)避風(fēng)險(xiǎn)。
二、租家 / 收貨人申請(qǐng)臨時(shí)改港
特殊地緣沖突時(shí)期,由租家或收貨人發(fā)起的改港申請(qǐng)屬于商事合理變通操作,不違反法律強(qiáng)制性規(guī)定,但船東必須嚴(yán)格把控單證流轉(zhuǎn)與風(fēng)控流程:
完整收回全套正本提單并統(tǒng)一作廢,杜絕舊版提單流轉(zhuǎn)引發(fā)貨權(quán)糾紛;
新簽發(fā)提單僅可變更卸貨港信息,其余條款、貨物批注、權(quán)責(zé)約定需與原提單完全保持一致,嚴(yán)禁擅自修改其內(nèi)容;
要求申請(qǐng)方出具正式履約保函,明確改港事由、權(quán)責(zé)劃分、費(fèi)用承擔(dān)等條款;
及時(shí)向保賠協(xié)會(huì)、船舶保險(xiǎn)人同步報(bào)備改港事宜,確認(rèn)保單效力延續(xù),防止因航線、卸港變更導(dǎo)致保險(xiǎn)責(zé)任失效。
